These Terms of Service ("Terms") govern access to and use of the INFUSTUDIOS website, Showcase Portal, HOOT-related services, testnet features, airdrop activities, and other services made available through the INFUSTUDIOS ecosystem (collectively, the "Services").
The Services are operated by Endohedral Fuller Ltd, a company registered in New Zealand ("INFUSTUDIOS", "we", "us", or "our").
By accessing or using the Services, you agree to these Terms and any additional terms presented for specific features. If you do not agree, you must not use the relevant Services.
INFUSTUDIOS is an independent venture in active development, building an ecosystem spanning talent discovery, sports and athlete development, film and content production, creator showcasing, technology, and future distribution services.
HOOT is the utility token being developed for participation and utility within the INFUSTUDIOS ecosystem.
The Services, features, token utilities, roadmaps, and future plans described on our website may change during development. Planned features are not guaranteed to launch, and no particular delivery date or outcome is promised unless expressly stated in a separate binding agreement.
You must meet the minimum age requirements displayed for the relevant Service to create an account, submit content, connect a wallet, or participate in token-related activities.
Where a Service requires you to be at least 18 years old, you must meet that requirement. If a particular feature permits younger users, additional parental consent and safeguarding requirements may apply.
You must not use the Services where doing so would violate applicable law or restrictions that apply to you.
The final minimum age and eligibility rules should be confirmed through legal review, taking account of the Services offered and the jurisdictions in which they are available.
Some Services require an account. You agree to provide accurate information, keep your login credentials secure, and notify us of suspected unauthorised access.
You are responsible for activity conducted through your account, subject to any rights or protections available under applicable law.
We may restrict, suspend, or terminate accounts involved in fraud, abuse, security threats, unlawful activity, or material violations of these Terms, subject to applicable law.
The Showcase Portal and related Services may allow you to upload videos, images, profiles, and other materials ("Submissions"). You retain ownership of your Submissions.
By submitting content, you grant INFUSTUDIOS a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute that content as reasonably necessary to operate, provide, and promote the Services.
Where content is used for promotional purposes beyond displaying it within the Services, we will respect any applicable permissions, restrictions, and legal requirements.
This licence ends when you delete the Submission or close your account, except where retention is reasonably necessary for legal compliance, security, backups, dispute resolution, or where the content has already been shared by others or incorporated into materials that cannot reasonably be withdrawn.

We may remove or restrict access to Submissions that violate these Terms or applicable law.

HOOT is being developed as a utility token intended to support participation and utility within the INFUSTUDIOS ecosystem.
The availability and functionality of HOOT may depend on the relevant blockchain network, smart contracts, ecosystem features, and applicable terms.
HOOT is not offered through these Terms as shares or ownership in Endohedral Fuller Ltd. Unless expressly established by separate binding terms, holding or receiving HOOT does not confer company ownership, voting rights in Endohedral Fuller Ltd, dividends, profit-sharing rights, repayment rights, or an entitlement to distributions from the company.
The description of HOOT as a utility token does not determine its legal classification. Applicable laws and regulatory obligations will depend on its actual features and use.
HOOT-related testnet features are provided for development, evaluation, and testing.
Unless expressly stated otherwise:
You must not assume that testnet tokens can be redeemed for money, exchanged for mainnet tokens, or transferred into a production environment.
INFUSTUDIOS may introduce airdrops, token claims, community rewards, or other participation programmes, subject to separate eligibility rules and programme terms.

Any announced token allocation, claim period, or distribution should be interpreted according to the specific terms published for that programme.
Nothing in this section excludes rights or obligations that cannot lawfully be excluded.
Certain HOOT-related features may require you to connect a compatible blockchain wallet.
You are responsible for maintaining control of your wallet, private keys, seed phrases, and authentication credentials. INFUSTUDIOS will not ask you to disclose your private keys or seed phrase.
Blockchain transactions may be irreversible. Incorrect addresses, compromised wallets, network failures, malicious software, smart-contract vulnerabilities, and user errors may result in loss of digital assets.
Network fees, transaction confirmations, and transaction processing times depend on the relevant blockchain and third-party infrastructure.
We do not control independent wallet providers, blockchain networks, or third-party applications. Their services may be subject to separate terms and privacy policies.
You should verify transaction details before signing or submitting a blockchain transaction.
Digital tokens and blockchain-based services involve technical, operational, regulatory, and security risks.
You should not participate on the assumption that HOOT will appreciate in value, become listed on an exchange, remain transferable, or provide financial returns.
INFUSTUDIOS does not guarantee a market price, secondary-market availability, liquidity, exchange listing, future token distribution, or any particular financial outcome.
Nothing on the INFUSTUDIOS website is intended to constitute personalised financial, investment, tax, or legal advice.
This section does not override any specific rights or obligations established by applicable law or separate binding agreements.
Except for user Submissions and third-party materials, the INFUSTUDIOS name, logo, branding, website design, original content, and other materials are owned by Endohedral Fuller Ltd or its licensors and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or commercially exploit those materials without permission, except as permitted by law.
Nothing in these Terms transfers ownership of INFUSTUDIOS intellectual property to you.
We aim to provide reliable Services but do not guarantee that they will always be available, uninterrupted, error-free, or compatible with every device, wallet, blockchain network, or third-party service.
Features may be updated, delayed, suspended, or discontinued during development.
We do not guarantee discovery, career opportunities, audience growth, sporting outcomes, creator success, token utility, or any particular result from using the Services.
Nothing in these Terms excludes guarantees, consumer rights, or remedies that cannot lawfully be excluded under applicable law.
To the extent permitted by applicable law, Endohedral Fuller Ltd will not be liable for indirect or consequential loss arising from your use of the Services.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including any non-excludable consumer rights or statutory guarantees.
Any limitation of liability must be interpreted consistently with applicable New Zealand law, including the Consumer Guarantees Act 1993 and Fair Trading Act 1986 where applicable.
The final wording of this section requires review by a qualified New Zealand lawyer.
You may stop using the Services at any time.
We may suspend or terminate access where reasonably necessary to address a material breach of these Terms, fraud, security risks, unlawful activity, or operational requirements, subject to applicable law and any contractual obligations.
Termination of access to a website feature does not, by itself, determine the legal status or ownership of any independently held digital asset. Any rights relating to such assets remain subject to applicable law, the relevant network, and any binding terms governing them.
We may update these Terms as INFUSTUDIOS and its Services develop.
We will update the date shown at the beginning when changes are made. Where required by law or the nature of the change, we will provide appropriate notice or obtain consent.
Changes will not retrospectively remove rights that have already accrued under binding agreements, except where permitted by law.
Your continued use of the relevant Services after updated Terms take effect constitutes acceptance where legally effective.
Our collection and use of personal information are governed by our applicable Privacy Policy and relevant privacy laws.
Depending on the feature used, we may process account information, submitted content, technical information, wallet addresses, transaction identifiers, and activity associated with testnet or airdrop participation.
Wallet addresses and blockchain transactions may be publicly visible on the relevant blockchain. Do not submit sensitive personal information to a public blockchain.

These Terms are governed by the laws of New Zealand, subject to any mandatory legal protections that apply in your jurisdiction.
Disputes will be dealt with by the courts of New Zealand, subject to applicable law and any mandatory jurisdictional rights.
